Would this be a good change for FS2002

Ok now I have an Intel Pentium III 667Mhz which is not that good 382 MB of RAM. I'm thinking of making an upgrade for the Video Card To a Geforce 4 MX440 I know the Matrox is not that good but I can tweak it would this help my framerates. O and by the way I get about 10FPS with my 8MB Video Card

Your CPU would still be holding you back. Any MX card is not real good for FS, just my opinion. Frame rates might not change much.

MX video cards are made for your mom's computer, not a gamers computer. If your mom play video games ignore the first comment. You don't want a video card that can out run your CPU. Upgrade your mother board and processor.
