Do you have FSModelExp.dle in the same folder as makemdl.exe? If not, ensure you have them together. FSModelExp.dle is only available from FS2002 Pro and is the export *.dll for gmax, otherwise you cannot export a file.
If you do have the above arrangement, check for a detailed log file within your gmax folder where you are trying to save you work. It will have more detail about the actual problem.
Visit http://www.gmaxsupport.com/ for more information.

Specifically, check the "tutor.log" file created. It should really tell you what's happening.
Typically, on a converted dxf, you will find such things as "co-located vertices"

Is it legal to have someone send me that required file from gmax in FS2002 to use in gmax from FS9?

If you're talking about the export dle file - No.
If you're talking about makemdl.exe - it's probably easier for you to download the SDK directly.

Watch http://www.microsoft.com/games/flightsimulator/ for SDKs for FS9(FS2004). The *.mdls for fs2004 are different (not to say an fs2002 *.mdl won't work), so it might require a different *.dle and makemdl.exe.
